By accessing or using the evum platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

evum provides an enterprise AI governance platform that helps organisations inventory AI tools, track spend, assess maturity, and manage AI initiatives. The Service is provided as a software-as-a-service product accessed via web browser and API.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. evum reserves the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit malicious code or harmful content.

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection and use of your information as described in the Privacy Policy.

6. Intellectual Property

All intellectual property rights in the Service and its content, features, and functionality are owned by evum AI or its licensors. These Terms do not grant you any rights to use evum’s trademarks, logos, or other brand features without prior written consent.

7. Customer Data

You retain ownership of all data you submit to the Service (“Customer Data”). You grant evum a limited licence to process Customer Data solely to provide and improve the Service. evum will not share Customer Data with third parties except as necessary to deliver the Service or as required by law.

8. Confidentiality

Each party agrees to keep the other’s confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law or as necessary to perform obligations under these Terms.

9. Warranties and Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. evum does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, evum shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if evum has been advised of the possibility of such damages. evum’s total liability shall not exceed the amounts paid by you for the Service in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold evum and its officers, directors, employees, and agents harmless from any claims, damages, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. Upon termination, your right to access the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

13. Changes to Terms

evum reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which evum AI is incorporated, without regard to its conflict of law provisions.
